Terms of Use

These Terms of Use (the “Terms”) are a binding agreement between you and Centrion (“Centrion”, “we”, “us”, or “our”) governing your access to and use of the Centrion platform, websites, applications, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to both you and that organisation. If you do not agree, do not use the Service.

You must be at least 16 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service.

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorised use. You are responsible for the actions of all users you invite to your organisation.

Centrion provides a platform for configuring and operating AI “agents” that can plan tasks, draw on memory, and — where you connect them — act within third-party tools on your behalf. The Service is a tool that you direct; you remain responsible for the goals you set and the actions you authorise.

Agents produce AI-generated output. Such output may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing output before relying on or acting on it, and for using available controls (such as approval gates) for any sensitive action.

We may add, change, suspend, or remove features at any time. Parts of the Service may be offered as beta or preview functionality and may be unstable or change without notice.

“Your Content” means the data, prompts, documents, brand information, and other materials you or your users submit to the Service, together with the output generated for you. As between you and Centrion, you own Your Content.

You grant Centrion a worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content solely to operate, maintain, secure, and improve the Service and to provide it to you. We do not use Your Content to train our own or any third party’s foundation models.

You are responsible for ensuring you have the rights necessary to submit Your Content and to authorise the agents’ actions, and for complying with any laws or third-party terms that apply to it.

You may connect your own AI provider key (for example Anthropic, OpenAI, or OpenRouter). When you do, prompts and content are sent to that provider under your account and that provider’s terms, and you are responsible for the associated usage and cost.

Where you have not connected your own key, the Service may run on Centrion’s managed AI capacity, metered against your plan. Managed usage is subject to the limits of your plan and to fair-use protections.

You agree not to use the Service to:

break the law, infringe others’ rights, or facilitate harm;

generate or distribute malware, spam, deceptive, or fraudulent content;

harass, defame, or violate the privacy of others, or process sensitive personal data without a lawful basis;

attempt to bypass usage limits, security, or access controls, or to reverse-engineer, scrape, or overload the Service;

violate the terms of any third-party service you connect (such as email, messaging, or code-hosting providers); or

resell or provide the Service to third parties except as expressly permitted.

We may investigate suspected violations and suspend or terminate access to protect the Service and its users.

The Service integrates with third-party tools and AI providers that you choose to connect. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or their handling of your data, and granting an agent access to a connected tool is at your discretion and risk.

Paid plans are billed in advance on a recurring basis through our payment processor. By subscribing you authorise us to charge the applicable fees and taxes to your payment method until you cancel.

You can cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable, and plan limits (such as monthly work runs and chats) reset each billing period and do not roll over.

We may change pricing or plan features on a prospective basis with reasonable notice for renewals.

The Service, including its software, design, and trademarks, is owned by Centrion and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service or any AI output will be uninterrupted, error-free, secure, or fit for your particular needs. AI output is not professional advice (including legal, financial, medical, or tax advice), and you should obtain independent professional advice before relying on it.

To the maximum extent permitted by law, Centrion and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid to us for the Service in the three (3) months before the event giving rise to the claim, or USD 100.

You agree to indemnify and hold harmless Centrion and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, the actions you authorise agents to take, or your breach of these Terms or of applicable law.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users.

On termination, your right to use the Service ends. We may delete Your Content following termination in accordance with our Privacy Policy and retention practices; provisions that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “last updated” date or notifying you in-product. Your continued use of the Service after the changes take effect constitutes acceptance.

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located in Singapore, except where mandatory local law provides otherwise.
